Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Estach ("Estach", "we", "us", or "our"), the company that develops and operates Qpostly (the "Service"). By creating an account or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Qpostly is a social media scheduling and management platform that allows you to connect third-party social media and messaging accounts, and to compose, schedule, publish, and analyze content across those accounts. Available platforms and features may change over time, and we may add, modify, or remove features at our discretion.

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use of your account.

You must be at least 16 years old, or the age of legal majority in your jurisdiction if higher, to use the Service.

• Certain features of the Service require a paid subscription. Prices, billing cycles, and included features are described on our pricing page at the time of purchase.
• Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds except where required by law.
• We may change our pricing with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

When you connect a social media or messaging account to the Service, you authorize us to access and use that account, through the permissions you grant, solely to provide the features you request (such as publishing, scheduling, and reporting on content). You are responsible for complying with the terms of service of each third-party platform you connect. We are not responsible for changes, outages, or policy enforcement actions made by third-party platforms that affect your connected accounts or published content.

You retain all ownership rights to the content you create, upload, or schedule through the Service ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of operating and providing the Service to you, including publishing it to the platforms you select.

You are solely responsible for Your Content and for ensuring you have the necessary rights and permissions to publish it, and that it does not violate any law or third party's rights.

You agree not to use the Service to:

• Violate any applicable law or regulation, or the terms of any connected third-party platform.
• Post or distribute content that is unlawful, defamatory, fraudulent, or infringes on the intellectual property or privacy rights of others.
• Distribute malware, spam, or engage in any activity that disrupts or interferes with the Service or its infrastructure.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems and networks.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by applicable open-source licenses.

We may suspend or terminate access for accounts that violate this section.

The Service, including its software, design, branding, and documentation, is owned by Estach and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights or licenses are granted to you in or to the Service.

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service will immediately cease, and we may delete your account data in accordance with our data retention practices described in our Privacy Policy.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that content will be published successfully to every connected platform at all times, as this may depend on factors outside our control, including third-party platform availability and policy changes.

To the maximum extent permitted by law, Estach and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of, or inability to use, the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Estach and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms.

These Terms are governed by the laws applicable in the jurisdiction in which Estach is incorporated, without regard to conflict of law principles, unless otherwise required by mandatory local consumer protection law.

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page with a new "Last updated" date, and, where appropriate, through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
